1. Introduction & Agreement to Terms

Welcome to ENMR Logistics LLC (“ENMR,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website (the “Site”) and any services we provide. By using the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use the Site or our services.

2. Company Status & Coordination-Only Disclaimer

ENMR operates as a logistics coordinator. We arrange transportation and related services through independent, licensed third-party providers (collectively, “Service Providers”). Unless expressly stated in a separate, written agreement, ENMR does not act as a motor carrier, freight forwarder, NVOCC, air carrier, customs broker, or warehouseman. Our role is limited to coordination on your behalf.

3. Eligibility & Acceptable Use

• You must be at least 18 years old to use the Site or our services.
• You agree not to misuse the Site, introduce malware, scrape data without permission, probe or access non-public areas, or use the Site for unlawful purposes.
• We may suspend or terminate access for any violation of these Terms.

4. Services Provided

We provide logistics coordination, including obtaining quotes, arranging transport with Service Providers, and facilitating communication among parties. The scope for each shipment will be confirmed in writing. Changes to scope may affect pricing, timing, or feasibility.

5. Quotes, Pricing & Changes

• Quotes are estimates based on information available at issuance and may change due to capacity, fuel, surcharges, market conditions, or regulatory changes.
• Service is confirmed only upon written confirmation by ENMR or the relevant Service Provider.
• Schedules and transit times are not guaranteed; ETAs are subject to change.

6. Third-Party Providers & Terms

Services are performed by independent Service Providers under their own contracts (including bills of lading, tariffs, limitations of liability, and claims procedures). By using our services, you agree those terms apply in addition to these Terms. ENMR is not responsible for acts or omissions of Service Providers.

7. Insurance & Claims

• Unless expressly stated in writing, ENMR does not provide or sell cargo insurance. You are responsible for arranging coverage to your desired level. Upon request, we can connect you with options.
• Claims for loss, damage, or delay must be filed directly with the responsible Service Provider under their terms and deadlines. ENMR can assist with coordination but does not adjudicate claims and is not liable for outcomes.

8. Customer Responsibilities

• Provide accurate shipment details (commodity, value, weight, dimensions, packaging, hazardous status, special handling) and promptly notify us of changes.
• Ensure cargo is properly packed, labeled, documented, and compliant with applicable laws (including export, import, sanctions, and safety rules).
• Pay all duties, taxes, customs fees, storage, demurrage, detention, chassis and other accessorial charges not expressly included in a written quote.

9. Hazardous & Prohibited Cargo

Hazardous materials, dangerous goods, and restricted or prohibited items may require special approvals and handling. You are responsible for accurate declaration and compliance. ENMR may refuse or discontinue coordination for any shipment at our discretion.

10. Fees, Invoicing & Payment

• Payment terms are specified on quotes or invoices. Late balances may incur finance charges and collection costs. We may withhold coordination, documents, or release of shipments until payment is received.
• Additional or unforeseen charges (e.g., storage, demurrage, detention, re-delivery) are your responsibility if incurred.

11. Intellectual Property

All Site content (text, graphics, logos, designs) is owned by ENMR or its licensors and protected by law. You may not copy, modify, distribute, or create derivative works without prior written consent.

12. Disclaimers

The Site and services are provided on an “as is” and “as available” basis. ENMR disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

13. Limitation of Liability

To the fullest extent permitted by law, ENMR shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, or data, arising out of or relating to the Site or services—even if advised of the possibility.

Without limitation, ENMR is not liable for delays, loss, or damage arising from: Service Providers; port or terminal congestion; customs or regulatory actions; labor disputes; weather or natural events; war, terrorism, cyber incidents; or other force majeure events.

In all cases, ENMR’s total liability shall not exceed the fees paid to ENMR for the specific service giving rise to the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless ENMR and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms, your cargo, or your misuse of the Site or services.

15. Governing Law & Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. Exclusive venue lies in the state or federal courts located in Sarasota County, Florida, and you consent to personal jurisdiction there.

16. Changes to These Terms

We may update these Terms at any time. Changes are effective when posted here with an updated Effective Date. Continued use of the Site or services after changes constitutes acceptance.

17. Miscellaneous

• Severability: If any provision is held invalid, the remaining provisions remain in full force.
• No Waiver: A failure to enforce a provision is not a waiver.
• Entire Agreement: These Terms are the entire agreement regarding the Site and coordination services unless superseded by a signed written agreement.
